I think it is irrational to call it anything other than an agreement of $10M in cash and 100,000,000 in TVN shares held in escrow for 2 years.

Whatever you, Grant, I or anyone else for that matter prescribe them to be worth now is irrelevant. That's all I'm saying. It's printing free money by issuing stock.

The only value to KRR could assess on is what they are currently worth, and what movement will they have in the 2 years held in escrow?

Looking at TNG's past history its been a pretty volatile journey and anyone with time on their side could have seen 6-13cents several times over.

It's a relatively safe exchange for KRR that they'll get their 10cents.

I'm simply saying this is absolutely NOT the same as raising capital at a premium. If Grant can get someone to stump up cash in exchange for shares at 10cents.... I'm in the second after.
