Why would all or most of any upside from any farm-in announcement not already be factored into the share price?

This must be the most anticipated (now delayed) announcement in the business.
Just missing a name of the partner.

With a credible partner (financially/ management strong partner) the sp may spike on the day of the announcement.

With a less credible player the sp may in fact drop when they finally get around dropping some ink to paper and announcing the deal details.
