I agree, they dont necessarily have to cover as they can subscribe to convertible note (tranch 2) at any time.
I would think if they're smart they may decide to subscribe now whilst the share price is 1.5c. If the vwap over a 5 day period is around 1.5c they will end up making a profit since their average sell price is abit under 2c (I suspect).
