"Valad will be released from all obligations pursuant to the existing credit support arrangements totaling $43.2million, in exchange for a one-off contribution of $6.5 million;
? Valad will provide its consent to the sale of Top Ryde;
? Valad will retain its rights to receive any surplus funds from the sale of Top Ryde
after repayment of amounts owing to the Syndicate; and
? Valad will not have any involvement in the operation and / or potential sale of Top Ryde

The Agreement is subject to a number of conditions precedent, including the finalisation of formal documentation with the Syndicate."
