Activistic Limited (“ACU”)
ASX refers to your online report dated 22 August 2017 raising concerns about the current suspension of ACU.
As you may be aware, on 26 April 2017 ACU requested a voluntary suspension of the quotation of its securities pending the finalisation of a material transaction in order to manage its continuous disclosure obligations under the listing rules. As ACU announced on 17 May 2017, this transaction was determined by ASX to constitute a significant change to ACU’s activities under chapter 11 of the listing rules, thereby requiring shareholder approval and re-compliance with chapters 1 and 2 of the listing rules. This announcement indicated that ACU expected to achieve readmission by 18 August 2017.
On 28 July 2017 ACU released a further update on its progress in meeting these requirements, including an updated indicative timetable nominated 29 September 2017 as the date of the shareholder meeting and 10 November 2017 as the date of re-admission and quotation of new securities on ASX. In August 2017 ACU announced that this date for the shareholder meeting would not be met, and that a further update would be provided in due course.
While we appreciate that ACU’s ongoing suspension is a cause of frustration, ASX is working with ACU with a view to meeting the requirements under the listing rules for reinstatement. To this end, on 1 September 2017 ACU released its Preliminary Final Report for the year ended June 2017, which it expects to finalise shortly.
