From a historical perspective poll voting was introduced to deal with the pleb shareholders discontent but now the dynamics has changed where wealthy activists are getting involved.
The board now has to deal with both ends of the activism spectrum to run a company…why should be BOD force to listen to the wealthy activism and not adhere to the wishes off what the majority of individuals shareholder’s feel is best for the company.
Don’t forget that individuals who have holdings in a Custodian or Nominee Company’s have the right to vote as individual’s but rely, possibly on one person decision, which may not actually be representing their thoughts.
I sure there would be ways to counter what ur suggest could happen ….from pleb a shareholders like me, a suggestion would be for the right to vote u would need a marketable parcel etc
