Please explain how raising funds at lower prices than IPO and subsequent CR's is an ethical way to treat shareholders and in their best interest?
Despite the regulators inability to enforce it, that is a boards primary task according to corporate law.

I would prefer to have waited an extra period of time and slowed growth before reaching profitability as opposed to being diluted now. Having to raise funds now also illuminates the possibility that not everything is rosy as is being stated, it also indicates things are not being done as well as they should by Directors & Senior management, IMHO.
