I'd guess that it means a deal has been agreed in principle but sign off hasn't yet been inked in, perhaps due to logistics of getting names on the papers, or for other technical reasons. The TH removes the risk of word getting out. Good move IMHO. To me this shows a mature way of dealing with the situation.
If a deal was legally binding already they surely would announce that right away, so it appears there is some risk (perhaps small) that it'll come to nothing.
The above comments, of course, assume a partner has been found. Let's hope the terms are good ones.
