Maybe MRC had some form of guarantee associated with the other entity
With tax (payroll at least) if one co is controllled by another the debt can be "transferred" to the parent in some cases, otherwise limited liability prevails & co's are responsible for their own debt & go into liquidation if insolvent
Shareholders are protected with Ltd liabilty co's except for partly paid shareholders. As far as I know they can be sued for any balance unpaid
NL co's are protected from this
