My theory is as follows:
1. TZ have tendered for the services of replacement directors with appropriate capabilities, track records and remuneration expectations, but no-one responded.
2. Consequently, the cap raising, which will be substantial at a very low price, is required to pay MB’s & KT's retention bonuses, and to fund their FY12/13 remuneration increases.
