Entitlement Offer Details The Transaction will be partly funded via a 2-for-15 underwritten accelerated renounceable entitlement offer to raise approximately A$401 million at an offer price of A$2.05 per new share (“Entitlement Offer”).The record date under the Entitlement Offer is 7.00pm (AEST) on 29 August 2016 ("Record Date"). The offer price represents a 13.4% discount to the theoretical ex rights price (“TERP”) based on the adjusted last closing price of Evolution on 23 August 2016 11 and a 18.4% discount to TERP based on the adjusted 10 day VWAP of Evolution as at 23 August 2016. 11 The Entitlement Offer comprises an accelerated institutional entitlement offer and a retail entitlement offer. Under the Entitlement Offer, eligible shareholders are invited to subscribe for 2 new fully paid ordinary shares in Evolution ("New Shares") for every 15 existing fully paid ordinary shares in Evolution ("Entitlement") held as at 7.00pm (AEST) on the Record Date.
