1. A capital raising would not be classed as a "transaction that is material in the context of the company"

2. Peter Velez doesn't mess with tiny capital raisings.
Check out the guys past history.
He is more in to capital restructures, mergers and acquistions.

If ARE are using Watson Mangioni as lawyers, there is a good chance they are advising them on defending a takeover/merger
I doubt Peter Velez would be involved unless it is big.
ARE would not be using Watson Mangioni as lawyers unless they have been approached by somebody.
These guys charge big time.
Like 1-2%+ of market cap.

Other possible material transactions could be a very significant JV, or off take agreement.
Someone big wants to enter ARE's share register in a big way or Watson Mangioni would not be involved."
