This is what caught my eye:

Directors’ Recommendation:
Mr Roger Marshall OBE, Mr David Jones and Mr Bruce Foy recommend that Shareholders vote in favour of this resolution. The reasons for their recommendation include:
i. the grant of the Options as proposed to Mr Anderson will provide him with reward and incentive for future services he will provide to the Company to further the progress of the Company;
ii. the Options are not intended as a substitute for salary or wages; and
iii. in the Company’s circumstances as they existed as at the date of this Explanatory Statement, Mr Marshall, Mr Jones and Mr Foy considered that the incentive provided a cost-effective and efficient incentive as opposed to alternative forms of incentives (e.g. cash bonuses, increased remuneration).

My take on this was that JA had done a lot for the co and deserved a bonus. But probably what he had done could not yet be disclosed. We cannot give him a bonus because we want to use the cash. Sooooooo, yes a gift.

Of course, as always, I could also justify another take on this but, on balance, this looks the more likely, IMO!!

They have discounted to a PV of 80K odd but if he converts in the near future (IF APPROVED) the value is, I think, about 50% higher.

So, yes, I think JA is getting set before the big ann????
