If they did not do the Ironclad spin-off they would have done a share placememnt to raise funds, which is a common route when companies are raising money to develop a project. Either way it still dilutes.
But this is very common. I think it would be very rare for a company to move from an explorer to a producer without some dilution taking place. I see advantages of Ironclad spin-off, as others have pointed out.
