If the earnouts ever get paid the shareprice will be many multiples of where it is now. They would not deal at anything like 50% when earnings are where they are today maybe 1c. Try a Black–Scholes model and see what you get. They have cash on the balance sheet and your earnings estimate (which still makes them cheap!) looks extremely light IMO.
Anyway thats what makes a market! Selling the stock at these prices to me seems the wrong move. However Cheap stocks can remain cheap for a long time! Good luck all.
