I cannot see why TLW would pull out of the deal. A downgrade of reserves at Ching may disappoint but it is Uganda and Guyane that Tullow want. They may of course be out-bid. Pulling out would be costly with the penalty clause and the stakeholding they have built up recently which would surely take a massive hit to maybe below A$1.
For Tullow to withdraw would come as a massive surprise to myself. Not impossible but very unlikely IMO
