The substantive difference to the option issue from last year is the NED option proposals are on a level more appropriate for a non-executive of the company. 20% of last years proposal (1m vs 5m). Personally I would have thought 5-10% more appropriate (250,000 to 500,000 options) for NEDs. No retirement plan but still a kicker if they get this thing to $1+.
