Anyone with some experience interacting with execs at a corporate level will know they rarely rock the boat or raise activist measures. That's not how you get there in the first place. I've seen very strong positions abandoned and not pursued simply because the "look" was bad. I figure the BOT BoD's attitude is eyes front and forward march. Not exactly inspiring but they may see their role primarily as custodians and so always be having to make the safety play.
