I am not a legal expert but I have always considered that legally an independent director has the same responsibilities as a non independent director. So no legal difference in function. In practice, however, directors specialise in their focus, skills and time.
Boards with genuinely independent directors can make a difference in improving communications in companies like Cokal that are poor in communicating with shareholders. They can also ensure that decisions are made that are in the best interest of all shareholders not just special interest groups.
