It is a little more complicated than that. What the management buy out is aimed at mainly is the management business. The NTA is basically the value of the physical assets. Lenders do not lend on intangible assets as a rule so the NTA is the value of the assets that offset the liabilities. These values are wrtten down far below the replacement costs in my opinion.
