I am a holder of both ZFX and AGM and, while this is going on, I saw the price of my AGM share to rise and the price of my ZFX shares to drop. ????

I think that, if ZFX want this deal done badly, (and we all know it does), it should be doing it very quickly and swiftly, and stop beating around the bush. Come up with an upgraded offer, offering both total cash and/or shares in lieu of.

We would all benefit from it in the short and long term, my friend.
