Seems like a classic case of the Buyer's Curse to me.
Whichever party ends up winning the deal may end up regretting it. Highly uncertain asset. I model things like this as part of my career and one thing I've learned is that when you're building models without solid production data the models are extremely unreliable, and you usually end up overestimating the value rather than underestimating.
There's a saying in the industry, these models are like sausages - they're great until you find out what went into them.
