I suggest that you have to re-work your numbers. The second tranch is looking for only $7.2 mill. Divide that by 2200 odd share holders is only #3200 per share holder. That is an easy ask and there seems little chance that an SPP would fail -especially with a share price in excess of 60c.
I strongly suggest that there is no riak to existing holders to vote "no" to the existing proposal. In fact I can't see any reason to vote yes.
