The Offer is not underwrien. However as at the date of this Prospectus, Vintage
has received commitments from investors with respect to the Instuonal Offer
(which are the subject of selement support obligaons of the Joint Lead Managers)
and commitments from Brokers with respect to the Broker Firm Offer (which are the
subject of selement support obligaons with respect to the commitments made
by Taylor Collison under the Broker Firm Offer) for amounts at least equal to the
amount of the Offer (i.e. $30 million)
