The obvious 3rd option you missed is: The Vocus management had agreed for the M2 CEO to be CEO of the combined group, they then tried to regain control of the group and oust the M2 CEO, thereby getting control of M2 that they wouldn't have got otherwise. They failed in their coup attempt and with a combination of selling most of their shares and then disparaging the companies prospects in the media, they caused it to slide far worse than it would have if they had left with some consideration for remaining shareholders.
