Yes, financing would probably be the main obstacle.
At the same time, I would not be surprised that M&A guys find solutions for such a deal. Could be financed by a mix of equity/financial debt/corporate bonds/convertible bonds. Part of the payment could be deferred (and depend on some benchmarks), as we see it with more and more deals.
Another solution could be to share the acquisition with some private equities, with or without an option to buy the rest later on.
