The purchase price will comprise $1 million in cash, 55
million shares in the Company (Shares) and 110 million options exercisable at 2 cents (Options). The
purchase price will be increased, by up to a maximum of $3 million when the Coldry product is produced and
sold by the Company or an entity licensed by the Company, in which case an additional $0.50 per tonne out
of the proceeds of the sale of the Coldry product will be paid. The Company will also meet the existing
royalty obligation of 30 cents per tonne for 20 years. The relevant terms of the formal agreements may differ
from those outlined above.
