he can't resign. corporations act requires 3 directors for a public entity. Also 2 directors must ordinarily reside in Australia.
It also states all directors have a fiduciary duty to act ONLY in the best interests of the company. This duty also extends to ensure no conflict of interests. Sections 181-183 Corporations act 2001.
