I still maintain voting for or against this will be pointless. The chairman has already decided to vote yes via undirected proxies. Ie potentially up to 61.5% of ADRs. This thing hasn't even raised an eyebrow in the USA. Chances they won't even receive the paperwork to vote.
Also, rewards are relative. Whatdo other ceo's get in the oil industry? $1m pa? I reckon more. And incentives? While they are substantial in terms of the value of Ssn, u need to make it worthwhile for execs to stay. And in this case if they have plenty of upside, well great.
The only thing I would want to change is excercise price. Perhaps step it.
