    The way I read it, if proxys are directed then the chairman has to cast the vote you direct.Dont tick the box allowing the chairman to exercise undirected proxies.If you direct the chairman to act as your proxy and have marked how you want him to vote, then he has to do that.
    I have now decided to vote and I am against resolution 3.
