The annoying thing about this is that if shareholders do not register a vote, which frankly the large majority do not, then their votes end up going to the Chairman who always votes "Yes".
It's one of the basic fundamental flaws in Australian Laws geared towards the company to the detriment of the shareholder.
A vote should be determined by 50.01% of those who elect vote. If people choose not to vote, then that vote should be considered null and void.
