The Company hereby confirms that all the Resolutions as set out in the Notice of Annual General Meeting which was sent to shareholders on 3 May 2005 were duly passed at the Annual General Meeting held earlier today. As a result, each member of the board of directors who resigned and offered himself for re-appointment in accordance with the Company’s articles of association at the Meeting has been re-appointed to the board and the condition relating to the grant to a company in which Brian Sheeran is interested of options over 2,000,000 ordinary shares of the Company has, as a result of the passing of Resolution 10, been satisfied.
