Resolution 4 to approve the Mosaic Employee Incentive Scheme was...

Resolution 4 to approve the Mosaic Employee Incentive Scheme was conducted by a poll
requisitioned by a shareholder represented at the meeting and was not passed.
Poll details in respect of this resolution were as follows:
(i) there were 33,010,375 proxy votes in favour of the resolution;
(ii) there were 47,945,341 proxy votes against the resolution;
(iii) there were 12,177,213 proxy votes in respect of which the appointments specified
that the proxy abstain on the resolution;
(iv) there were 2,902,764 proxy votes in respect of which the appointments specified
that the proxy may vote at the proxy’s discretion (which are included in the total
referred to in (i) above);
Based on advice from the requisitioning shareholder that he proposed to request a poll in
respect of each of the remaining resolutions and that he had been instructed to vote against
each of the remaining resolutions the Chairman withdrew resolutions 5 – 10 dealing with the
issue of Options to Non-Executive Directors and the Managing Director.
