It's because they (Downer and their advisers) launched the raid for SPO shares after the market closed. By the time it reopens tomorrow, they will have acquired a substantial stake and possibly made a takeover offer to the Board. SPO will update the market before open if that's the case. If they don't receive an offer, they will no doubt update in relation to the share raid.
