They made an opportunistic, very conditional offer and decided to walk away
WES has had ample opportunity to come back subsequently with a higher less conditional bid - they didn't
Their choice
WES is one of the best run Companies on the ASX
BTW - look at WES share price now compared to when they made the LYC offer
