The ratification should allow board to do another placement in next 12 months without getting shareholder approval first if they decide. Even though shareholders might not like this its often better to approve it - if its likely the company may still need some additional funds. If you don't like what the directors / management have done better to vote against them / remuneration , but better to not restrict company if and when it needs the money. - just my thoughts.
