IMO The Rail access will be granted by the for all to use, however BHP will put certain conditions of use which could make it hard to gain access, so assess to BHP Rail system is not a plus it only brings forward the future, then UMC will have to find and prove up another resource, we have access to rail but no ore. so with no railway no major benifit in the short term. railway is the Ace and you do not want to give away your best card to cheaply.

IMO give the rest back and keep Railway & Railway East for imediate access to BHP Rail System.
