Goldstandard, if that is how you feel, then you explain that in a calm, rational way. Not in the way that was shown in your first post.
The job of the board, in this case, is to keep the company going the best way they see fit. If you feel that seriously about the situation, and that you genuinely feel the directors are not meeting their legal obligations as directors, then make a complaint to the relevant authorities.
I can't help but think there a lot of armchair experts floating around here.
