escrow means the SP is agreed now and shares allocated but owner is not allowed to sell for 12 months - it straps them in to the up coming drills and even though there is dilution there can not be any supply into the market. It is less common now days but was used extensively in the dotcom boom to back door tech companies into old mining shells. Landau is just old enough to have some experience in it.
