Easy, shareholder votes did not count. Axiom put a nice little postscript in the notes which stated that votes on this resolution will have no bearing on the board. Charming fellas.
Also, anyone that didn't bother to vote, and let's face it most people don't care, the Chairman would vote on their behalf in favor of the resolution. But as I stated their votes did not count anyway.
In summary, there was no chance the remuneration would not go through. Some would point to a dictatorship
