Those are very good points.
Pure speculation, I have doubt Karl buys the business. If I were Karl, I would let it die, de-listed rather than bearing all the debt, then start a new company (maybe under different owner(s)). Assume he still has connection and good relationship with some system integrator (existing "customers"), he might restart his game plan.
By reading his profile and work ethics, I do not see he is getting anywhere after de-listing.
