In order to become Effective, the Scheme must be approved by theRequisite Majorities, being:
• unless the Court orders otherwise, a majority in number (more than50 per cent) of Origin Shareholders present and voting at the SchemeMeeting (either in person or by proxy, attorney or, in the case ofcorporate Origin Shareholders, body corporate representative); and
• at least 75 per cent of the total number of votes cast on the SchemeResolution at the Scheme Meeting by Origin Shareholders presentand voting (either in person or by proxy, attorney or, in the case ofcorporate Origin Shareholders, body corporate representative).Even if the Scheme is approved by the Requisite Majorities of OriginShareholders at the Scheme Meeting, the Scheme is still subject to theapproval of the Court.
