The BOD needs to justify why the Chairperson receives $100k pa on top of the Chairmans board fee?
The BOD needs to ask how it came into being s well as rescind the term obtained the CEO's employ contract, that will reward the CEO something in the order of $1m should the Board retire or ask the  CEO from that role! What a questionable bonus for a non performance result while at same time being paid an exorbitant and unjustified salary along the way!
When the BOD make-up has no industry representation relative to the a companys core business, you experience this sort of gross snout in the trough, out of control and unjustified over indulgence. Its often called "lack of accountability"
