Just need to watch the MC.
Using the 40/60 split,
At 4c SP, the MC of HAW would be $57m. LCY MC would need to be at 90m. (or SP of 38c).
The talk of NDMC could be looking at a price range was $40-60 mil for new LCY shares (50% dilution). in effect valued LCY at no more than $60m.
So if the offer is at $60m, HAW may be valued at 40% of that (i.e. $24m or SP of 1.35c)
