I think the problem is simply that Jiangsu is not functioning how it was promised all along and the output is just not there so Tianqi just don't want to settle. They can't be forced to buy something that won't work as promised.
It would be cheaper to just buy all the shares on market than complete the deal, thus giving them ownership of the whole company.
