I believe that even though it has cash WPL is thinking of borrowing to aquire. Borrowing $1.8 billion would change its debt to equity structure and effectively "dilute" shareholder equity. The market may be selling it down to a level that equates to this new capital structure. The aquisition would nevertheless increase earnings and cash flow (and EPS) so longer term it should be share price positive. This could be a good time to buy if you have a long-term perspective (like 2-5 years).
