The SP usually rises to that of the TO offer price.
For example, if WHC is currently trading at $2.48 and XYZ company makes an offer of $3.00 per share, then it would be highly likely the WHC SP would rise accordingly because essentially, the Market is determining WHC's value based on what XYZ company is willing to pay.
I have not experienced a TO personally, but shareholders do not lose everything. Your shares are simply bought out by the company doing the takeover.
The juicy part is when multiple company's start a bidding war and the offer price keeps rising.
