The best way to use the franking credits is for management to negotiate with any potential acquirer to pay cash of $xx per share plus a fully franked dividend of $yy. I have seen this a number of times in acquisitions where the target has franking credits that haven’t been used. I'm quite sure Jon & the companies advisers are fully aware of this and, if possible will seek to negotiate an outcome in order to maximise tax advantages in any agreed takeover.
