Andrew, share schemes of this nature are usually 'phantom' share schemes and as such do not require cash at bank to be spent. So, not likely to impact the CR requirements.
That said, you have fair points around whether they are warranted and the terms. We have the right to vote at teh AGM on this front, although in small caps like this a vote against rarely ever gets up. Often done on a show of hands for the half a dozen lackeys that bother turning up.
Clearly the argument is they will be incentivised (heavily) to get the share price up, and if they do everyone wins. If they don't no one wins, but they get a free ride on the shares and get paid handsomely to do it in the meantime. Easy to understand how this could be upsetting.
