Its not only the big guys who they need to woo - they need 50% of all those shareholders that actually vote - refer section 2.11 of the scheme booklet. I'd say thats why they have hit the phones trying to woo retail investors like us. Like seemingly all others on this forum, I told them their offer was inadequate and I would be voting no.
Extract from my post of 10 Nov - "LLC can't vote, and they need 75% of the remaining shares to be voted in favour. Even more onerous, they need more than half of the shareholders (by number) who actually vote to be in favour. That is, it doesn't matter whether you hold 1000 shares or 10million shares, your vote counts equally in determining whether or not the 50% by number is achieved. This is outlined in section 2.11 of the scheme book. Lots of smaller holders like us voting against the scheme can kill it, regardless of what the institutions do."
